Terms of Service

These Terms of Service ("Terms") govern your use of WinTagz, a desktop application provided by Mini404 LLC d/b/a WinTagz ("WinTagz," "Mini404 LLC," "we," "us," or "our"). By using WinTagz, you agree to these Terms.

1. Service Description

WinTagz is a desktop productivity tool that operates within your existing platform accounts. WinTagz is not a marketplace, payment processor, or intermediary. It does not facilitate transactions, hold funds, or act on behalf of any platform. WinTagz:

• Monitors live sales on Whatnot, eBay Live, Palmstreet, and TikTok Shop LIVE in real time
• Automates tag printing during livestreams
• Generates shipping labels and packing slips for fulfillment
• Syncs and tracks orders, buyers, and inventory
• Provides analytics and operational insights for live selling businesses

All platform interactions occur exclusively through your own authenticated sessions. WinTagz does not access, store, or transmit your platform credentials. All data retrieval and automated actions are performed using your existing platform authorization, as if initiated by you directly.

Features vary by subscription tier. Seller insights, buyer matching, and sales analytics provide estimates based on your available data and should not be relied upon as the sole basis for business decisions.

2. Account Registration

To use WinTagz, you must:

• Create an account with accurate information
• Be at least 18 years old
• Keep your login credentials secure
• Notify us of unauthorized account access

You are responsible for all activity under your account.

3. Subscription Tiers and Billing

WinTagz offers multiple subscription tiers (Free, Pro, Growth, and Business) with different features and usage limits. Feature availability and any usage allowances for each tier are as displayed within the application, which we may update from time to time.

Changes to Features and Tiers

We may add, modify, remove, or change the subscription tier required for any feature at any time. The features included in each tier are those displayed in the application, and they may change. If a change materially reduces the features included in a paid tier, the change takes effect for existing subscribers at their next renewal, not during a billing period they have already paid for. Where we cannot delay a change within our control for your account, we will offer a prorated credit or comparable accommodation for the remainder of the paid period. This does not apply to changes forced by third-party platforms.

Payment Processing

• All payments are processed by Stripe, Inc. By subscribing, you agree to Stripe's terms of service.
• We do not store your payment card details. All payment information is handled directly by Stripe.

Auto-Renewal

• Paid subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date.
• You will be charged at the then-current rate for your plan upon each renewal.
• If the price of your plan changes, we will notify you by email at least 30 days before the new price applies to a renewal.

Cancellation

• You may cancel your subscription at any time through the Plans & Billing section of the WinTagz app. We do not hide the cancellation option or make it difficult to use. Canceling takes no more effort than subscribing did.
• It is your responsibility to cancel through the app before your renewal date. Sending an email or message to us (including to support) is not a cancellation; your subscription remains active, and continues to renew, until you complete cancellation through the app. If you are ever unable to cancel through the app, contact support@wintagz.com and we will process the cancellation for you.
• Cancellation takes effect at the end of the current billing period. You retain access to paid features until that date.
• Cancellation does not by itself entitle you to a refund. Except as provided under the Money-Back Guarantee below, subscription payments are non-refundable and we do not provide prorated refunds for partial billing periods.

Money-Back Guarantee

WinTagz offers a money-back guarantee on a customer's first paid Pro, Growth, or Business subscription. The guarantee period begins when the first paid subscription is activated for your account and ends seven (7) calendar days later.

To qualify for the guarantee, you must:

• Run at least three (3) eligible live selling shows using WinTagz during the first seven (7) calendar days after activating your paid subscription; and
• Request a refund within those same seven (7) calendar days by contacting support@wintagz.com.

An eligible show is a qualifying show, as defined under Tag and Show Allowances below, that you run on a connected platform (Whatnot, eBay Live, Palmstreet, or TikTok Shop LIVE) with WinTagz connected and actively in use during the show.

If, after completing three eligible shows during the guarantee period, you believe WinTagz did not save you enough time and money to justify the subscription cost, you may request a full refund of your first subscription payment. Customers who do not run at least three eligible shows within the seven-day guarantee period are not eligible for the money-back guarantee.

The guarantee applies only to the first paid subscription period for an account and does not apply to subscription renewals, subsequent billing periods, upgrades, add-ons, or previously refunded accounts.

Tier Changes

• Upgrades take effect immediately, with prorated billing for the remainder of the current period.
• Downgrades take effect at the next billing cycle.

Tag and Show Allowances

• Tag and show allowances for each tier are as displayed in the application and on wintagz.com, and may change as described under Changes to Features and Tiers.
• The Free tier includes unlimited tags on Whatnot for up to ten (10) qualifying shows per calendar month. Paid tiers include unlimited shows.
• A show qualifies, and counts toward the monthly allowance, when WinTagz has been connected to it for approximately thirty (30) minutes and five (5) or more items have sold, or when ten (10) or more items have sold regardless of connected time. A connection that reaches neither threshold, including a failed connection, a brief test, or a show in which nothing sells, does not count.
• Reconnecting to the same show within ninety (90) minutes of your last activity continues that show rather than starting a new one. Each show is counted once, by its platform show identifier.
• The show counter resets at the start of each calendar month (UTC). Once the allowance is used, WinTagz will not connect additional shows on the Free tier until the counter resets or you upgrade. Upgrades take effect immediately.
• WinTagz calculates show and tag counts from the connection time and sales it records. If a locally recorded count and the count stored with your account differ, the higher count applies.
• If a tag allowance applies to your tier and you exceed it, we may provide a grace period, after which tag printing may be paused until the next billing or usage period or an upgrade.

4. Acceptable Use

You agree NOT to:

• Use the service for any illegal purpose
• Violate Whatnot's, eBay's, Palmstreet's, or TikTok Shop's terms of service
• Attempt to reverse engineer, decompile, or modify the application
• Share your account credentials with others (team seat functionality is available on Business+ plans)
• Use Business team seats to give a separate business, or a seller who is not part of your operation, access to WinTagz. Team seats exist so that people working within the account owner's own selling operation, such as assistants, shippers, and moderators, can support the same business. Using seats to equip other sellers or to operate more than one business is a violation of these Terms and may result in termination under Section 14.
• Use automated tools to abuse the service
• Circumvent usage limits, tag allowances, or subscription restrictions

5. Platform Integrations

WinTagz connects to third-party platforms (Whatnot, eBay Live, Palmstreet, and TikTok Shop LIVE) exclusively through your own authenticated browser sessions. You must:

• Have valid accounts on these platforms
• Comply with their respective terms of service
• Authorize WinTagz to access your seller data through your authenticated sessions

WinTagz does not independently access any platform. All data retrieval, real-time monitoring (including WebSocket connections during livestreams), and automated features operate within and through your active platform sessions. You acknowledge that your use of WinTagz in connection with third-party platforms is subject to those platforms' terms and policies.

We are not responsible for changes to third-party platform APIs, terms, or policies that may affect WinTagz functionality.

6. Automated Actions

Certain features (such as Auto Giveaways) perform automated actions on connected platforms on your behalf. These automated actions interact with platforms using your active session and authorization. You acknowledge that these actions are performed as if initiated by you directly. By enabling these features, you acknowledge and agree that:

• WinTagz will send commands to the connected platform (e.g., starting giveaways) based on your configured settings, using your authenticated session
• All automated actions are attributable to your platform account as if you performed them manually
• You are solely responsible for the configuration and consequences of automated actions
• You should monitor automated features during use to ensure they operate as intended
• Mini404 LLC is not liable for any unintended actions, losses, or platform policy violations resulting from automated features

7. Local Data and Your Responsibility

Most data in WinTagz (orders, buyer information, financial records, analytics) is stored locally on your device. We do not have access to this data during normal use; it reaches us only through the optional sharing and support features described in our Privacy Policy, when you choose to send it. You are responsible for:

• The accuracy of data you input or sync from connected platforms
• Backing up your local data (WinTagz provides automatic local backups)
• Compliance with applicable data protection laws regarding buyer and customer information you process
• Proper handling of customer shipping addresses and personal data in your possession

8. Intellectual Property

WinTagz and its original content, features, and functionality are owned by Mini404 LLC and protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, or create derivative works of WinTagz without our written permission.

9. Data and Privacy

Your use of WinTagz is also governed by our Privacy Policy. By using the service, you consent to data collection and use as described in the Privacy Policy.

Certain features let you opt in to sharing data with us, such as diagnostics, telemetry, or the data-contribution programs described in the Privacy Policy. Participation is optional. If you opt in, WinTagz may collect and use the shared data as described in the Privacy Policy. You can withdraw from an optional program at any time through the application's privacy settings. Withdrawal stops future collection but does not affect data already collected or already blended into aggregated statistics.

You grant Mini404 LLC a perpetual, irrevocable, worldwide, royalty-free license to create aggregated or de-identified data (data that does not identify you, your buyers, or your business) from data you share through the data-contribution programs described in the Privacy Policy, and to use, distribute, and retain that aggregated or de-identified data to operate, improve, and develop the service and to provide and distribute market benchmarks and analytics features. We may also create aggregated or de-identified statistics from account, subscription, and usage information to operate, improve, and develop the service. This license does not extend to shape-telemetry, full-capture, or support submissions, which we use and delete only as described in the Privacy Policy.

10. Disclaimer of Warranties

Except for the Money-Back Guarantee and the other express commitments described in Section 3, WinTagz is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to:

• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy or reliability of results

We do not guarantee uninterrupted or error-free service. Analytics, insights, and financial calculations are provided as estimates only and may contain inaccuracies.

Features may be added, modified, or removed at our discretion, as described in Section 3 (Changes to Features and Tiers). This includes features in beta or early access.

11. Limitation of Liability

To the maximum extent permitted by law, WinTagz and Mini404 LLC shall not be liable for:

• Indirect, incidental, special, or consequential damages
• Lost profits, revenue, or data
• Business interruption
• Damages arising from third-party platform changes, outages, or policy enforcement
• Damages arising from automated actions performed by the application on connected platforms
• Damages arising from reliance on generated insights or analytics

Our total liability shall not exceed the amount you paid for the service in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless WinTagz and Mini404 LLC, and their officers, directors, and employees, from claims, damages, or expenses arising from:

• Your use of WinTagz
• Your violation of these Terms
• Your violation of third-party rights or platform terms of service
• Your handling of buyer/customer data
• Automated actions performed on your behalf through the application

13. Dispute Resolution

Informal Resolution

Before filing any formal legal action, you agree to contact us at support@wintagz.com and attempt to resolve the dispute informally for at least 30 days.

Binding Arbitration

If we cannot resolve a dispute informally, you and WinTagz / Mini404 LLC agree to resolve any claims through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration will take place in North Carolina or, at your election, via telephone or video conference.

Class Action Waiver

You and WinTagz / Mini404 LLC agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.

Small Claims Exception

Either party may bring an individual action in small claims court if the claim qualifies.

14. Termination

We may suspend or terminate your access to WinTagz:

• For violation of these Terms
• For non-payment of subscription fees
• At our discretion with reasonable notice

Upon termination:

• Your right to use the service ends immediately
• Local data remains on your device
• Cloud data (account info, usage counts) may be deleted after 30 days
• You remain responsible for any outstanding payment obligations

15. Changes to Terms

We may modify these Terms at any time. When we do, we post the updated Terms on this page and revise the Last Updated date shown above. For material changes we will also notify you through the app or by email. Continued use of WinTagz after a change takes effect constitutes acceptance. If you do not agree to the updated Terms, you must stop using WinTagz and cancel your subscription.

16. Governing Law

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict of law provisions. Any disputes not subject to arbitration shall be resolved in the state or federal courts located in North Carolina.

17. Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.

18. Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms and our rights and obligations under them, including in connection with a merger, acquisition, reorganization, or sale of assets, or by operation of law.

19. Survival

Provisions that by their nature should survive termination of these Terms survive it, including Sections 8 (Intellectual Property), 9 (Data and Privacy), 10 (Disclaimer of Warranties), 11 (Limitation of Liability), 12 (Indemnification), 13 (Dispute Resolution), and 16 (Governing Law).

20. Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including third-party platform or provider outages, internet or utility failures, natural disasters, labor disputes, war, or governmental action.

21. Data Breach Notification

In the event of a security breach affecting your account information stored on our servers, we will notify affected users via email within 72 hours of becoming aware of the breach. Local data stored on your device is not affected by breaches of our cloud infrastructure.

22. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and WinTagz / Mini404 LLC regarding WinTagz.
